These Terms of Service (the “Terms”) are a legally binding agreement between you and Dork Labs. They govern your access to and use of the SimplFi website, application, and related APIs (together, the “Interface”).

The Interface is a non-custodial software front end that lets you interact with the DorkFi protocol on Algorand and with third-party services described below. It is not a bank, broker, exchange, custodian, investment adviser, or insured deposit product.

By accessing or using the Interface — including clicking “Get Started,” connecting a wallet, or completing a deposit, withdraw, borrow, repay, bridge, or cash-out — you agree to these Terms, our Privacy Policy, and our Product Disclosures. If you do not agree, do not use the Interface.

The Product Disclosures are incorporated into these Terms. If there is a conflict, these Terms control.

1. Eligibility

You may use the Interface only if you:

• Are at least 18 years old (or the age of majority where you live, if higher).
• Have the legal capacity to enter this agreement.
• Are not located in, a resident of, or organized under the laws of a jurisdiction where using the Interface would be unlawful.
• Are not on a U.S. or other applicable sanctions list, and are not owned or controlled by a sanctioned person.
• Will use the Interface only for lawful purposes.

We do not represent that the Interface is appropriate or available in every country. You are responsible for complying with local law.

We may refuse, suspend, or terminate access at any time, including for invite-only or capped launches.

2. The Interface — what we provide and what we do not

2.1 What production SimplFi does

In production, the Interface lets you:

• Supply native USDC on Algorand (Circle USDC, ASA 31566704) to a DorkFi lending market (“Savings”).
• Borrow native USDC against that savings (“Borrow”).
• View and manage an open borrow (“Portfolio”).
• Create a session via Get Started (email, social, or passkey through Privy), move USDC between Base and Algorand, and cash out through third-party partners.

Words like “savings,” “account,” “loan,” and “APY” are product labels for on-chain protocol positions. They do not mean a bank account, a consumer installment loan, or a promised interest rate.

2.2 What we do not provide

We do not:

• Take custody of your assets or hold keys as a custodian.
• Issue, redeem, or guarantee USDC or U.S. dollars.
• Promise yield, principal protection, a USDC peg, or uninterrupted withdrawals or cash-out.
• Execute transactions except as software that you (or your wallet provider) sign.
• Act as your broker, agent, fiduciary, or investment adviser.
• Offer other DorkFi assets, wrapped or third-party USDC, or higher-risk yield products through production SimplFi.

On-chain positions live in smart contracts, not in an account we maintain for you. If we take the Interface down, those positions may still exist on-chain and may be reachable through another compatible interface or your own wallet.

3. Accounts, wallets, and signatures

3.1 Get Started (Privy)

Get Started uses Privy to create an embedded wallet (typically an EVM wallet on Base) and a derived Algorand address. Key material is handled under Privy’s terms. That is not the same as a hardware wallet you fully self-custody.

We cannot restore access if you lose your email, social login, passkey, or Privy recovery method. Anyone who can use your Get Started session can move funds.

3.2 Connect Wallet

If you connect an external wallet (for example Pera or Defly), you control the keys. We never receive those keys.

3.3 Your transactions

Every deposit, withdraw, borrow, repay, opt-in, bridge, or cash-out transfer requires your approval. You are solely responsible for reviewing transaction details before signing.

Blockchain transactions are generally final. We cannot reverse, cancel, or retrieve funds sent to the wrong address, chain, or asset, or lost to user error, phishing, malware, or a compromised session.

You must maintain any ALGO (and, where relevant, Base ETH or other gas) needed to transact.

4. Third-party services

The Interface orchestrates independent providers. Their terms, privacy policies, fees, KYC/AML, geographic limits, and failure modes apply in addition to these Terms. We are not those providers and are not responsible for their acts or omissions.

Typical providers include:

A success screen in SimplFi does not mean the partner or the chain has settled.

Fiat on-ramp and off-ramp identity checks are performed by those partners, not by Dork Labs as a money transmitter. You authorize us to pass information reasonably required to initiate those flows, as described in our Privacy Policy.

Quotes, rates, and payout times from partners are not guaranteed.

5. Protocol markets, yield, and liquidation

Savings and borrows are DorkFi protocol positions. Parameters (including rates, caps, collateral factors, and liquidation thresholds) can change through protocol governance or admin functions.

• Displayed APY/APR figures are estimates, not a promise. They can change or fall to zero.
• Borrows are overcollateralized and can be liquidated. Same-asset USDC collateral and USDC debt does not remove liquidation risk. Interest accrual, oracles, and parameters can make a position unsafe, including while you are offline. Liquidators—not Dork Labs—execute liquidations. We do not automatically repay or protect your loan.
• USDC is Circle’s token, not cash, and is not issued or guaranteed by us. It can depeg, freeze, or become unavailable.

You assume all protocol, smart-contract, oracle, market, issuer, bridge, and partner risk, as further described in the Product Disclosures. You can lose some or all of the value you supply or borrow.

6. Fees

You are responsible for protocol interest and fees, network fees, partner spreads and charges (including card, Apple Pay, MoonPay, Coinbase, Stripe, and XO Swap), and any liquidation penalty. The Interface may not show every downstream fee in one number.

We may introduce, change, or remove Interface fees with notice by updating these Terms or the Interface. Protocol and partner fees are outside our control.

7. Availability, caps, and modifications

We may change, suspend, or discontinue any part of the Interface (including Get Started and cash-out) at any time, with or without notice, including for maintenance, risk, legal, or partner reasons.

Markets have supply and borrow caps. A displayed rate does not mean you can deposit or borrow that amount. Partners may geo-restrict or refuse service.

We do not guarantee uptime, accuracy of displayed balances or rates, or that you will be able to repay, withdraw, or cash out through the Interface at any given time.

8. Acceptable use

You agree not to:

• Use the Interface in violation of law, regulation, or sanctions.
• Use the Interface if you are a sanctioned person or for the benefit of one.
• Interfere with, disrupt, or attempt unauthorized access to the Interface, our APIs, or related systems.
• Probe, scrape, or overload the Interface except as allowed by robots.txt or a written API grant.
• Exploit bugs, oracles, or smart contracts, or use the Interface to attack DorkFi or third-party protocols.
• Misrepresent your identity or the source of funds.
• Use the Interface to launder money, evade taxes, or commit fraud.
• Reverse engineer the Interface except to the extent the law forbids that restriction.
• Use the Interface in a way that could impose unreasonable load or legal risk on us or our partners.

We may block wallets, sessions, IP addresses, or regions, and we may cooperate with partners and lawful requests from authorities.

9. Intellectual property

The Interface — including names, logos, layout, and original copy — is owned by Dork Labs or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Interface for its intended purpose, subject to these Terms.

You may not copy, modify, distribute, sell, or create derivative works from the Interface except as we expressly allow. DorkFi protocol contracts, if published, are licensed under their own terms.

“SimplFi,” “DorkFi,” and related marks are trademarks of Dork Labs or its affiliates. You may not use them without written permission.

If you send feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or compensation.

10. No advice; taxes

Nothing in the Interface is investment, legal, tax, credit, or accounting advice, or a recommendation to supply, borrow, or hold any asset.

You are solely responsible for taxes arising from your activity. We do not provide tax forms unless required by law.

11. Disclaimers

THE INTERFACE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DORK LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Interface will be uninterrupted, secure, or error-free.
• Displayed balances, rates, health, or quotes are complete or current.
• Any transaction will succeed, settle, or settle at a displayed price.
• Smart contracts, USDC, bridges, wallets, or partners will function as intended.
• You will recover assets if you lose wallet or account access.

Blockchain networks, smart contracts, and third-party services are inherently risky. Use only funds you can afford to lose.

Some jurisdictions do not allow certain disclaimers. In those places, our disclaimers apply to the fullest extent permitted.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DORK LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE INTERFACE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO DORK LABS, IF ANY, FOR USE OF THE INTERFACE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

We are not liable for protocol liquidations, partner failures, network outages, oracle errors, USDC issuer actions, user error, or unauthorized access to your wallet or Get Started session.

13. Indemnification

You will indemnify, defend, and hold harmless Dork Labs and its officers, directors, employees, contractors, and affiliates from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Interface; (b) your on-chain transactions; (c) your violation of these Terms or law; (d) your violation of a third party’s rights; or (e) your tax or regulatory obligations.

14. Termination

You may stop using the Interface at any time. Remaining protocol positions are your responsibility.

We may suspend or terminate access immediately if we believe you have violated these Terms, created risk, or if we discontinue the Interface. Sections that by their nature should survive (including 5, 8–16) survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except that the Federal Arbitration Act would apply if the parties later agree in writing to arbitrate.

Exclusive venue for any dispute that a court may hear is the state or federal courts located in Wyoming, and you consent to personal jurisdiction there — except that we may seek injunctive or other equitable relief in any court to protect intellectual property or the Interface.

You and Dork Labs waive any right to a jury trial to the extent the law allows.

No class actions. You may bring claims only in your individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding, to the extent the law allows.

If a court finds the class waiver unenforceable for a particular claim, that claim must be litigated in court and severed from the remainder.

16. Changes

We may update these Terms by posting a new version and changing the “Last updated” date. Material changes may also be noted in the Interface. Continued use after the effective date is acceptance. If you do not agree, stop using the Interface.

17. General

• Entire agreement. These Terms, the Privacy Policy, and the Product Disclosures are the entire agreement on this subject and supersede prior agreements relating to the Interface.
• Severability. If a provision is unenforceable, the rest remains in effect.
• Waiver. A failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, financing, or sale of assets.
• No third-party beneficiaries, except as stated for our indemnified parties.
• Notices. We may notify you via the Interface or support@simplfi.app. You may notify us at support@simplfi.app.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including network or partner outages.
• Export and sanctions. You will not use the Interface in violation of U.S. export or sanctions laws.
• Interpretation. Headings are for convenience. “Including” means “including without limitation.”
